TERMS AND CONDITIONS - Cheshire Wrapping LTD

1. Introduction
These Terms and Conditions ("Terms") govern the provision of commercial wrapping services by Cheshire Wrapping LTD ("we," "our," "us," or "the Company") to you ("you," "your," or "the Client").
By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding with any order or service request.

2. Services
2.1 Scope of Services
We provide commercial wrapping services including but not limited to:

Vehicle wrapping (vans, trucks, lorries, HGVs, commercial fleets)

Building wraps and architectural graphics
-
Signage and graphics
-
Event and exhibition graphics
-
Related design, printing, and installation services
2.2 Quotations
All quotations are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the information provided by the Client and may be subject to change if project requirements differ from the original specification.
2.3 Acceptance
A quotation becomes a binding contract when:

The Client accepts our quotation in writing (email accepted), or
-
The Client pays a deposit, or
-
Work commences with the Client's knowledge and consent
3. Pricing and Payment
3.1 Prices
All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added at the prevailing rate.
3.2 Deposit
We require a deposit of 50% of the total project cost before commencing work, unless otherwise agreed in writing.
3.3 Payment Terms

Deposit: 50% upon acceptance of quotation

Balance: Due upon completion of work before or on delivery/installation

Payment methods: Bank transfer, credit/debit card, or as otherwise agreed
3.4 Late Payment
If payment is not received within 14 days of the due date:

We reserve the right to charge interest at 8% per annum above the Bank of England base rate
-
We may suspend or refuse further services until payment is received
-
Late payment fees may apply in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
3.5 Additional Costs
Any additional work requested by the Client outside the original quotation will be charged separately and must be agreed in writing before commencement.
4. Client Responsibilities
4.1 Information and Materials
The Client must provide:

Accurate measurements and specifications
-
High-resolution artwork and logos in required formats
-
Brand guidelines (if applicable)
-
Access to vehicles, buildings, or sites as required
-
Any necessary permits or permissions
4.2 Artwork and Design

The Client is responsible for providing print-ready artwork or commissioning our design services
-
The Client must approve all proofs and designs before production
-
Changes requested after approval may incur additional charges
4.3 Vehicle/Building Condition
-
Vehicles and buildings must be clean and in suitable condition for wrapping
-
The Client is responsible for ensuring surfaces are properly prepared
-
We reserve the right to refuse installation if surfaces are unsuitable
4.4 Access and Site Conditions
The Client must ensure:

Safe access to installation sites
-
Adequate working space and facilities
-
Power supply if required
-
Compliance with health and safety requirements
5. Our Responsibilities
5.1 Quality Standards
We will:
-
Use professional-grade materials from reputable suppliers
-
Employ skilled and experienced installers
-
Complete work to industry-standard specifications
-
Conduct quality checks upon completion
5.2 Insurance
We maintain appropriate insurance including:
-
Public liability insurance (£10 million)
-
Employer's liability insurance
-
Professional indemnity insurance
6. Production and Installation
6.1 Timescales
Estimated completion dates are provided in good faith but are not guaranteed. We will use reasonable endeavors to meet agreed deadlines.
6.2 Delays
We are not liable for delays caused by:

Late approval of artwork or designs by the Client
-
Failure of the Client to provide necessary materials or access
-
Adverse weather conditions affecting installation
-
Circumstances beyond our reasonable control (force majeure)
6.3 Installation
-
Installation will be carried out during normal working hours unless otherwise agreed
-
We will take reasonable care of Client property during installation
-
The Client should remove or protect any valuable items before installation
7. Warranties and Guarantees
7.1 Material Warranties
We warrant that materials used are fit for purpose and conform to manufacturer specifications. Specific warranty periods depend on the materials used and will be specified in your quotation.
Typical warranties:

Premium cast vinyl wraps: Up to 5-7 years
-
Standard calendared vinyl: Up to 3-5 years
-
Printed graphics: As per manufacturer specifications
7.2 Workmanship Guarantee
We guarantee our workmanship for a period of 12 months from the date of installation, subject to:

Proper care and maintenance by the Client
-
Normal use and conditions
-
No damage caused by third parties or accidents
7.3 Warranty Exclusions
Warranties do not cover:
-
Damage caused by accidents, misuse, or neglect
-
Damage from vandalism, theft, or third parties
-
Failure to follow care and maintenance instructions
-
Damage from harsh chemicals or pressure washing (where inappropriate)
-
Normal wear and tear
-
Fading due to prolonged UV exposure beyond material specifications
-
Removal or alteration by non-authorized persons
7.4 Warranty Claims
Claims must be made in writing within 7 days of discovery. We will inspect the issue and, at our discretion, repair or replace the defective work.
8. Intellectual Property
8.1 Client Materials
The Client warrants that they own or have permission to use all materials (logos, images, text) provided to us and that such use does not infringe any third-party rights.
8.2 Design Work

Any original designs created by us remain our intellectual property until full payment is received
-
Upon full payment, the Client receives a license to use the designs for the agreed purpose
-
We retain the right to use completed projects in our portfolio and marketing materials unless otherwise agreed
8.3 Third-Party Rights
The Client indemnifies us against any claims arising from infringement of intellectual property rights in materials provided by the Client.
9. Cancellation and Changes
9.1 Cancellation by Client

Cancellation before production begins: Deposit refunded minus 10% administration fee
-
Cancellation after production begins: No refund; Client liable for costs incurred
-
Cancellation after completion: Full payment required
9.2 Cancellation by Us
We reserve the right to cancel or refuse service if:

Payment terms are not met
-
Client provides false or misleading information
-
The project involves illegal or unethical content
-
Circumstances beyond our control prevent completion
9.3 Changes to Scope
Any changes to the agreed scope of work must be requested in writing and may result in additional charges and extended timescales.
10. Liability and Indemnity
10.1 Our Liability
Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
10.2 Exclusions
We are not liable for:

Loss of profits, revenue, or business opportunity

Indirect or consequential losses
-
Damage caused by the Client or third parties
-
Issues arising from Client-supplied materials or information
-
Pre-existing damage to vehicles or buildings
-
Parking fines, traffic violations, or similar during vehicle collection/delivery
10.3 Client Indemnity
The Client agrees to indemnify us against any claims, costs, or damages arising from:

Infringement of intellectual property rights in Client-supplied materials
-
False or misleading information provided by the Client
-
Failure to obtain necessary permits or permissions
11. Care and Maintenance
11.1 Care Instructions
We will provide care and maintenance instructions upon completion. The Client must:

Follow all care instructions provided
-
Allow wraps to cure for the specified period (typically 7-14 days)
-
Avoid pressure washing or harsh chemicals
-
Report any issues promptly
11.2 Removal
-
Wraps should be professionally removed to avoid damage to underlying surfaces
-
We offer removal services at an additional cost
-
Removal by non-professionals may void warranties and cause surface damage
12. Health and Safety
12.1 Our Obligations
We will:
-
Conduct risk assessments for all installations
-
Comply with all relevant health and safety legislation
-
Provide appropriate safety equipment and training to our staff
12.2 Client Obligations
The Client must:
-
Inform us of any site-specific hazards
-
Ensure site safety requirements are met
-
Comply with all health and safety regulations
13. Data Protection
We process personal data in accordance with our Privacy Policy and the UK General Data Protection Regulation (GDPR). By engaging our services, you consent to such processing.
14. Complaints and Disputes
14.1 Complaints Procedure
If you are dissatisfied with our services:

We will investigate and respond with a resolution within 14 days

If unresolved, we will escalate to senior management
14.2 Dispute Resolution
We will attempt to resolve any disputes through good faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Force Majeure
We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (extreme weather, natural disasters)

War, terrorism, civil unrest

Government restrictions or regulations
-
Strikes or labor disputes

Supplier failures
-
Pandemics or epidemics
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any quotation and specification, constitute the entire agreement between the parties and supersede all previous agreements, understandings, or representations.
18. Variations
We reserve the right to update these Terms at any time. Changes will be effective from the date posted on our website. Continued use of our services constitutes acceptance of updated Terms.

20. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes.
21. Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015.
